GunSync User Agreement

Effective Date: May 27, 2026

1. Purpose of Platform

GunSync is a software platform designed to assist Federal Firearms Licensees (“FFLs”) with inventory synchronization, marketplace listing management, automation tools, reporting, integrations, and related business management functions.

GunSync may integrate with third-party systems including but not limited to:

• FastBound
• GunBroker
• Payment processors
• Shipping providers
• Tax and compliance systems
• Additional marketplace platforms

GunSync does not operate as a firearms dealer, transfer agent, or firearms broker unless explicitly stated otherwise in writing.

2. Eligibility

By using GunSync, you represent and warrant that:

• You are legally authorized to operate within the firearms industry.
• You possess all required federal, state, and local licenses and permits.
• Your Federal Firearms License (“FFL”) is valid and active.
• You will comply with all applicable laws, regulations, ATF requirements, marketplace rules, and recordkeeping obligations.
• You are authorized to bind your company or organization to this Agreement.

GunSync reserves the right to suspend or terminate access if any licensing, compliance, or legal concerns arise.

3. User Responsibilities

You are solely responsible for:

• Accuracy of firearm listings
• Compliance with all ATF regulations
• Compliance with all state and federal firearm laws
• Maintaining accurate acquisition and disposition records
• Verifying inventory accuracy
• Proper firearm categorization
• Accurate pricing and descriptions
• Uploading lawful and non-infringing content
• Compliance with marketplace rules and policies
• Employee account management
• Protection of your login credentials

You acknowledge that GunSync functions as a software automation platform and does not verify the legality, accuracy, or compliance of listings created by users.

4. No Legal or Compliance Advice

GunSync does not provide legal advice, compliance advice, accounting advice, tax advice, or regulatory guidance.

Any information, warnings, recommendations, or notifications provided through the platform are for informational purposes only and should not be relied upon as legal or regulatory advice.

Users are solely responsible for consulting their own legal counsel, compliance experts, and regulatory authorities.

5. Third-Party Integrations

GunSync may integrate with third-party platforms, APIs, and services. GunSync is not responsible for:

• Third-party outages
• API failures
• Marketplace suspensions
• Listing removals
• Data inaccuracies from external systems
• Authentication failures
• Third-party policy changes
• Third-party fee changes

Users acknowledge that third-party systems may change functionality without notice, which may impact GunSync operations or integrations.

6. Marketplace Listings

Users are solely responsible for all listings posted through GunSync. GunSync does not guarantee:

• Listing approval
• Marketplace visibility
• Listing performance
• Sales volume
• Pricing outcomes
• Marketplace uptime
• Buyer conduct
• Payment collection

Users acknowledge that firearm listings may be delayed, rejected, removed, flagged, or modified by third-party marketplaces at any time.

7. Fees and Billing

Users agree to pay all applicable:

• Subscription fees
• Listing fees
• Transaction fees
• Usage fees
• Add-on service fees
• Applicable taxes

GunSync reserves the right to modify pricing, suspend accounts for non-payment, charge late fees, restrict access for failed payments, and terminate delinquent accounts. Unless otherwise stated in writing, all fees are non-refundable.

8. Account Security

Users are responsible for maintaining the confidentiality and security of usernames, passwords, API credentials, authentication methods, and access permissions.

Users must immediately notify GunSync of unauthorized access, suspected breaches, credential compromise, or employee termination affecting account access.

GunSync is not liable for losses resulting from compromised credentials or unauthorized account access caused by user negligence.

9. Acceptable Use

Users agree not to:

• Violate any law or regulation
• Circumvent marketplace rules
• Submit false information
• Upload malicious code
• Attempt unauthorized system access
• Interfere with platform operations
• Reverse engineer the software
• Resell or sublicense GunSync without written approval
• Use the platform for unlawful firearm transactions
• Use automated abuse tools or bots against the platform

GunSync reserves the right to suspend or terminate accounts engaged in prohibited activity.

10. Data and Privacy

Users retain ownership of their business data and uploaded content. By using GunSync, users grant GunSync a limited license to store, process, synchronize inventory, transmit listing information, generate reports, operate integrations, and improve platform functionality.

GunSync may collect account information, device information, usage analytics, inventory data, listing activity, transaction records, and error logs. GunSync will take commercially reasonable measures to protect user data but cannot guarantee absolute security.

11. Intellectual Property

All GunSync software, code, workflows, systems, branding, logos, designs, documentation, and platform functionality remain the exclusive property of GunSync.

Users receive a limited, revocable, non-transferable license to use the platform during an active subscription period. Users may not copy the platform, replicate functionality, create derivative works, reverse engineer the software, or remove branding or proprietary notices.

12. Platform Availability

GunSync does not guarantee uninterrupted service. The platform may experience maintenance downtime, API disruptions, hosting interruptions, third-party outages, software bugs, sync delays, and data processing delays.

GunSync reserves the right to modify, update, suspend, or discontinue portions of the platform at any time.

13. Limitation of Liability

To the maximum extent permitted by law, GunSync shall not be liable for lost profits, lost sales, compliance violations, regulatory penalties, ATF violations, data loss, business interruption, listing errors, marketplace suspensions, firearm transfer issues, or indirect or consequential damages.

GunSync’s maximum aggregate liability under this Agreement shall not exceed the total amount paid by the User to GunSync during the three (3) months preceding the claim.

14. Indemnification

Users agree to defend, indemnify, and hold harmless GunSync, its owners, employees, contractors, affiliates, and partners from any claims, damages, losses, liabilities, fines, penalties, legal actions, or expenses arising from user conduct, firearm transactions, marketplace listings, compliance violations, regulatory actions, data submitted by users, violations of this Agreement, or violations of applicable laws.

15. Termination

GunSync may suspend or terminate access immediately for violation of this Agreement, suspected unlawful activity, failed payments, abuse of the platform, compliance concerns, fraudulent conduct, or security threats.

Users may terminate their account at any time by providing written notice. Termination does not eliminate outstanding payment obligations.

16. Modifications to Agreement

GunSync reserves the right to modify this Agreement at any time. Continued use of the platform following updates constitutes acceptance of revised terms.

17. Governing Law

This Agreement shall be governed by and interpreted under the laws of the State of Arizona, without regard to conflict of law principles. Any legal disputes arising under this Agreement shall be resolved in the appropriate courts located in Maricopa County, Arizona.

18. Severability

If any provision of this Agreement is determined to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding use of the GunSync platform and supersedes all prior oral or written agreements relating to the subject matter herein.

20. Acceptance of Terms

By creating an account, accessing the platform, connecting integrations, syncing inventory, posting listings, or otherwise using GunSync, the User acknowledges that they have read, understood, and agreed to be bound by this Agreement.
